Terms of service
This is a courtesy translation. The Spanish version is the official text and prevails in the event of any discrepancy.
These terms govern the use of Noobit, which Noobit Loop, S.L. (Spanish tax ID B88820311, Calle Sant Roc, 25, 08503 Gurb (Barcelona), Spain; hereinafter “Noobit” or “we”) provides to the business or professional that subscribes to it (“the customer”). If your contract or your order form says something different, what your contract says prevails.
1. What the service is and who it is for
Noobit is a SaaS platform for managing product catalogs: it imports and consolidates your product information, enriches it with artificial intelligence and publishes or exports it to your stores and channels. We give you access to the service; we do not sell you a copy of the software. Noobit is only for businesses and professionals acting within the scope of their business activity; you cannot sign up for it as a consumer.
2. Your account and your users
We set up your workspace when you sign up, and you invite your users. You are responsible for what your users do, for keeping their passwords protected and for letting us know if you suspect unauthorized access.
3. Your content
The catalog, images, files and other data you upload or sync are yours, and so is the content Noobit generates from them for you. You give us permission to process them only to provide the service to you. You warrant that you have the right to use what you upload (for example, manufacturers' images and texts) and you are liable to third parties if that is not the case.
4. Content generated with artificial intelligence
Noobit uses third-party AI models to write product content, research products and process images. AI can make mistakes, leave out information or describe something inaccurately. That is why you must review content before publishing it, especially prices, composition, warnings, health or efficacy claims and any regulated information in your industry. We give you tools for this (preview, differences, versions and rollback), but the decision to publish and the responsibility for what is published are yours.
5. Acceptable use
You may not use Noobit for unlawful content or content that infringes third-party rights, to try to access other customers' data, to overload or attack the platform, to reverse engineer it or to resell the service without our agreement. Nor may you use it in ways prohibited by the policies of the AI providers we use. If we detect such use, we may suspend the affected access, notifying you as soon as possible.
6. Prices, credits and payment
- The plan, its price and the included credits are those in your order form or on the pricing page in effect when you sign up. Prices include VAT. For now we only contract with businesses established in Spain.
- Billing is currently monthly or annual, in advance, and payment is made by bank transfer. We will let you know when we enable card payments.
- AI operations use credits according to the actual cost of each operation. Before you launch one, we show you an estimate; what is deducted is the actual usage.
- An operation that completes uses credits even if its result is of no use to you (for example, research that finds no data), because the AI cost has already been incurred. If an operation fails because of a technical error, it only uses what the AI had already spent before the failure; an operation you cancel before it runs uses no credits.
- Plan credits are valid for the month in which they are added and the following month, and then expire; on the annual plan, the year's credits are valid for the whole year. Credits from each additional credit pack expire 12 months after purchase. Credits that expire soonest are used first.
- The credit cost of each action follows the prices of the AI providers. If it changes, we will notify you by email in advance, and it will only affect later usage.
- Unused credits are not refunded, and fees already paid are not prorated if you cancel before the end of the period.
7. Term, cancellation and end of the service
The contract renews automatically for periods equal to the one contracted. You can cancel it by writing to us at [email protected] before the current period ends: you keep access until the end of the paid period and have 30 more days to use any credits you have left. We may suspend the service if an invoice remains unpaid after we have given you notice.
Before you leave, you can export your catalog as a CSV file from the platform; if you need a more complete copy, ask us for it. Once the contract has ended, we delete your data within 30 days, except for data we must keep by law. Backups remove it as they rotate.
8. Personal data we process on your behalf
When you upload or sync personal data (for example, the names and email addresses of the buyers that come with your store's orders, or people who appear in files and voice notes), you are the data controller and Noobit is the data processor, under Article 28 of the GDPR. In that role, Noobit undertakes to:
- Process that data only to provide the service to you and following your instructions, which are these terms and what you configure on the platform.
- Require confidentiality from the people who access it.
- Apply appropriate security measures, described in Security.
- Use only the sub-processors published in Security. You authorize us to use them; if we add or change any, we will notify you 30 days in advance and you may object and, if no agreement is reached, terminate the contract.
- Help you respond to requests from data subjects exercising their rights.
- Notify you without undue delay, and in any case within 48 hours, if we suffer a security breach that affects your data, and help you manage it.
- When the contract ends, return or delete the data, as you prefer, within the time limits in section 7.
- Provide you with the information needed to demonstrate that we comply, and allow reasonable audits with prior notice.
You can turn on order anonymization in «Configuración → Facturación» (Settings → Billing), so that Noobit stops storing your buyers' names and email addresses. If you need a separately signed data processing agreement, ask us for one.
9. Connections to your systems and backups
To provide the service, Noobit connects to systems you control (your online store, ERP, marketplaces and similar) and reads and writes data in them: it imports your catalog and publishes or syncs product pages, images, prices and attributes.
We give you tools to stay in control (a preview with differences before publishing, versions of each product page and rollback), but Noobit is not a backup system. It is your responsibility to keep up-to-date backups of your own infrastructure and to check the changes. Only connect your systems if you have permission and valid credentials to do so.
10. Availability
We work to keep the service continuously available and announce maintenance downtime in advance. Part of the service depends on third parties we do not control (your store, the AI providers, the networks); their outages or changes may affect Noobit. If you sign up for an SLA, its commitments and compensation are those set out in it.
11. Liability
We provide the service with professional diligence, but we do not guarantee specific commercial results. We are not liable for indirect damages, loss of profits, loss of business, or for losses or changes in your connected systems resulting from incorrect configuration, changes to third-party APIs or content published without review. Our total liability is limited to the amount you have paid us in the 12 months before the event giving rise to it. These limitations do not apply in cases of willful misconduct or gross negligence.
12. Ownership of the platform
The software, its design and the Noobit trademark are ours. If you give us suggestions for improvement, we may use them freely to improve the product.
13. Changes to these terms
If we change these terms in a significant way, we will notify you by email at least 30 days in advance. If you do not agree, you can cancel before they take effect.
14. Governing law and jurisdiction
These terms are governed by Spanish law. For any dispute, the parties submit to the courts and tribunals of Vic (Barcelona).
